Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the Soaria website and platform (the “Service”), operated by Soaria (“we”, “us”, “our”).
1) Acceptance
By accessing or using the Service, you agree to be bound by these Terms. If you do not accept the Terms, you must not use the Service.
2) Service description
Soaria provides a platform and support services intended to help entrepreneurs and businesses structure their projects (e.g., business plans, financing plans, pitch decks) and prepare steps related to fundraising or financing. Some services may include human involvement (advice, review, edits).
The Service may evolve over time (features, flows, offers) without affecting the validity of these Terms.
3) Access, account, and security
Some features require an account.
You agree to:
- provide accurate and up-to-date information;
- keep your credentials confidential;
- notify us if you suspect unauthorized access to your account.
You are responsible for all activity carried out through your account, except where you can demonstrate fraudulent use not resulting from your fault.
4) Your content and uploaded documents
You may upload information and documents to the Service (the “Content”), which may include sensitive documents (e.g., identity documents, financial documents, legal/HR documents).
You represent that you have the rights and authorizations required to upload such Content and, where relevant, to allow us to process it to provide the Service.
5) Prohibited uses
You agree not to:
- attempt to access our systems without authorization;
- disrupt the Service (attacks, excessive load, bypassing security measures);
- use the Service for unlawful or fraudulent purposes;
- upload Content containing malware or harmful code.
We may suspend access if you violate these Terms or if your activity creates a security risk for the Service.
6) Intellectual property
The Service, its structure, interface, and elements (excluding user Content) are protected and remain the property of Soaria and/or its licensors.
Subject to compliance with these Terms, we grant you a personal, non-exclusive, non-transferable license to access and use the Service for its intended purpose.
7) Fees, payments, and billing
Some offers may be paid. Applicable pricing and payment terms are displayed before subscription or purchase.
Payments may be processed by our payment provider (Stripe). Soaria does not store full payment card details.
8) Termination and account deletion
You may request deletion of your account using the Service features or by contacting us.
We may suspend or terminate access in case of a serious breach of these Terms, including fraudulent use or actions that harm the Service.

9) Warranties and liability
The Service is provided “as is”. We use reasonable efforts to operate it, without guaranteeing uninterrupted availability or error-free operation.
To the extent permitted by law, Soaria will not be liable for indirect damages (loss of business, loss of opportunity, loss of data not attributable to the Service, etc.). In any event, if our liability is established, it will be limited to the amounts actually paid for the Service during the last twelve (12) months, unless mandatory law provides otherwise.

11) Changes to these Terms
We may update these Terms. In the event of material changes, we may notify you through the Service. The version applicable is the one published on this page on the date you use the Service.
12) Governing law and disputes
These Terms are governed by French law. In case of a dispute, the parties will attempt to resolve it amicably before taking legal action. Failing that, the competent courts will be those having jurisdiction over Soaria’s registered office, subject to any mandatory rules.
